____________________________________________________________________________ We create new formats, stories and build a world where the only limitation is human imagination. And now we are looking for a Senior Legal Counsel (Contracts & Corporate) who is ready to join and create it with us.
Your mission:

Commercial and content agreements
- Lead and close strategic alliances and content production deals with major US entertainment studios (e.g. Fox Entertainment) and top content creators.
- Structuring and negotiating IP: AI-derivative rights, adaptation licenses, distribution agreements with global publishers.
- Negotiate deals with large digital platforms (e.g. TikTok) by working with asymmetry of terms.
- Build a contract management process in the company: drafting and negotiating tech/IT agreements with providers (SaaS, cloud/hosting, DPA, SLA, MSA/SOW, etc.).

M&A, Investments and Due Diligence
- Conduct legal workstreams for sell-side and buy-side M&A: SPA redlining, deal structuring, due diligence, post-closing integration.
- Coordinate work with top-tier external advisors on cross-border transactions.
- Support investment legal processes: due diligence responses, data room management, correspondence with investors.
- Maintain documentation on credit lines, debentures and security instruments.

Corporate governance and structure management
- Manage a multi-jurisdictional group (Cyprus / US / others): incorporation, appointment of directors, corporate secretarial, registered agents.
- Administer the mechanics of the shareholder agreement: reserved-matter minutes, board meetings, approvals, and approval procedures.
- Maintain relationships with corporate services providers and maintain KYC/AML documentation for banking partners.

This will require the following skills and experience:
- From 5 years in the position of Legal Counsel in large consulting companies (Big Four, Legal 500).
- Experience in complex negotiations in multi-jurisdictional agreements.
- Strong background in corporate law.
- Understanding the concepts of English law (law of England and Wales): warranties, representations, indemnities, etc.
- Experience working with contracts under English/American law.
- Experience in conducting large transactions (M&A, investments, strategic partnerships).
- English C1 is primarily for negotiations.
- Using AI to work with contracts. Nice to have
- Experience working with foreign jurisdictions.
- Exposure to corporate, banking, finance and project, IP/technology practices.
- Experience working with studios and understanding of IP agreements.
- Experience with investments and rounds.
