Job responsibilities
Corporate Lawyer
- Provide legal advice to management and employees of all divisions of the company, including on civil, commercial, military and labor law issues.
- Represent the company’s interests in courts and before government authorities.
- Prepare, review and support negotiations on contracts and related legal documents.
- Check contracts with potential customers and suppliers.
- Conduct legal research and monitor changes in legislation and regulatory risks.
- Interact with internal and external stakeholders on legal matters.
- Participate in the preparation of legal reporting and documentation.
- Support claims work and litigation.
- Maintain military records at the enterprise.
- Ensure that the company’s activities comply with the requirements of current legislation and regulations.
- Manage and coordinate corporate legal matters, including company formation, maintaining corporate documentation, preparing resolutions of the board of directors and shareholders, formalizing delegation of authority, etc.
Compliance Specialist
Approximately up to 20% of total working time
- Develop and maintain compliance initiatives by implementing company policies and programs aimed at preventing illegal or unethical behavior.
- Conduct due diligence reviews and prepare compliance reports to assess and monitor risks.
- Advise local compliance teams to ensure compliance with internal and external regulatory requirements.
- Analyze data to identify compliance risks and provide recommendations for improving policies and procedures.
- Prepare reports on the effectiveness of compliance processes, ensuring clarity and consistency of reporting.
- Assist in training employees and familiarizing them with compliance procedures.
Qualification requirements
- Master’s degree in commercial law or a related field.
- Minimum 3 years of experience in general corporate legal practice; experience in international companies will be an advantage.
- Knowledge of legislation: deep understanding of Ukrainian law, including commercial, corporate, labor, tax, civil, procedural law, etc.
- Experience in supporting litigation; having a lawyer’s certificate would be an advantage.
- Experience in compliance functions is highly desirable.
- Excellent oral and written communication skills in Ukrainian.
- English – at least at a level sufficient for communication and creating contracts.
- Experience in military accounting would be an advantage.
- High ability to work both independently and in a team.
- Proven ability to work effectively under pressure and meet tight deadlines.
- Strong analytical skills and critical thinking.
- Excellent negotiation and interpersonal skills.
- High level of adaptability and attention to detail.
